Commercial Framework and Purpose

This B2B Wholesale Policy establishes the governing commercial terms, ordering thresholds, pricing agreements, distributor standards, and operational obligations required for commercial entities purchasing products on a wholesale basis. This agreement applies strictly to authorized retailers, commercial contractors, pet supply distributors, and registered business clients.

Minimum Order Quantity (MOQ) Requirements

To qualify for preferred B2B wholesale pricing tiers and commercial terms, purchases must satisfy established order threshold requirements:

  • Minimum Order Value: All wholesale orders are subject to a strict Minimum Order Quantity (MOQ) threshold of $1000 USD per order.
  • Quantity Adjustments: Orders falling below the $1000 USD threshold will not qualify for wholesale tier discounting and will be canceled or adjusted to standard pricing structures.
  • Product Mix: The $1000 USD MOQ can be satisfied across mixed product variations, full sets, or bulk carton configurations, provided total order value meets the financial minimum.

Account Qualification and Verification

Wholesale accounts are granted exclusively to verified business entities. Prior to wholesale order approval, applicants must provide complete commercial documentation, including:

  • Registered Corporate / Business Name and Operating Address.
  • Valid State/Regional Reseller Certificate or Tax Identification Number.
  • Primary Commercial Business Category (Physical Retail, E-Commerce, Pet Clinic, Distributor).
  • Operational verification confirming active business status.

We reserve the absolute right to approve, deny, suspend, or terminate wholesale account access at any time for non-compliance with commercial standards or brand representation guidelines.

Pricing Structure and Price Protection

Wholesale pricing tiers, bulk volume quotes, and promotional commercial rates are confidential and intended exclusively for approved purchasing entities:

  • Price Changes: Wholesale price schedules are subject to modification based on raw material costs, manufacturing adjustments, or freight rate updates. Registered clients will receive notice prior to new price implementation.
  • MAP Compliance: Wholesale buyers who operate retail channels agree to adhere to Minimum Advertised Price (MAP) guidelines established for retail representation to protect brand equity across marketplace channels.

Payment Terms and Financial Settlement

Wholesale procurements require clear financial settlement prior to order release and warehouse staging:

  • Pre-Payment Standard: Initial wholesale orders require 100% pre-payment via approved wire transfer, credit card processing, or certified commercial payment channels prior to production queuing or shipment dispatch.
  • Credit Terms: Extended credit terms (such as Net 30) are evaluated strictly for established commercial clients with a proven reordering history, credit checks, and formalized credit agreements.
  • Order Cancellation Fees: Wholesale orders canceled after payment processing and warehouse staging may be subject to a 15% restocking and administrative fee.

Order Fulfillment, Palletization, and Freight

Wholesale orders are packed according to commercial transport specifications:

  • Bulk Packaging: Items are packed in master carton quantities and staged on standard pallets for LTL or full-truckload transit where applicable.
  • Freight Coordination: Freight charges are calculated separately from product costs. Buyers may utilize designated freight carriers or elect to have logistics arranged on a prepaid-and-add basis.
  • Receiving Responsibility: The buyer is responsible for providing appropriate receiving facilities, including forklift capabilities or loading docks where required for palletized freight delivery.

Inspection, Shortages, and Discrepancies

Upon commercial freight arrival:

  • The receiving party must conduct an immediate exterior inspection of all pallets, shrink wrapping, and master cartons before signing carrier Bills of Lading (BOL).
  • Any visible freight damage, pallet breakage, or carton count shortages must be explicitly noted on the carrier BOL.
  • Discrepancies, internal carton shortages, or damaged stock claims must be submitted in writing within 5 business days of delivery receipt. Failure to notify within this window constitutes complete acceptance of the commercial shipment as delivered.

Reselling Restrictions and Market Channels

Wholesale buyers are granted non-exclusive rights to market and resell products within agreed commercial territories and distribution channels.

  • Unauthorized listing or unapproved third-party marketplace dumping that violates brand representation guidelines is strictly prohibited.
  • Modifying, repackaging, white-labeling, or altering product formulations, instruction sheets, or trademarked branding without express written consent is strictly forbidden.
